Stage 2: Quote Pack - Filling Forms of a Mio© M&A Project on the platform.
The Seller and/or the Buyer if applicable, with the assistance of their Advisors, fill out, review and sign these online questionnaires and upload key documents / information.

How To Mio© - Stage 2: Quote Pack - 3/5 - Reviewing and Signing Documents
This Article pertains to the filling of forms within Stage 2 - Quote Pack. These forms are available using the tab to the right of "Information Uploads", named either 3DF© or 2DF©, depending on the type of Policy and role you are filling in within. These pertain to the buyer and seller-side of transactions. a 3DF© is provided for a Buyer to complete their Digital Due Diligence, whereas a 2DF© is intended for a Seller to complete their Digital Disclosure. As M&A Transactions have 2 sides, there are also 2 types of Policies Mio© can cover: Buyer-Side Policies and Seller-Side Policies.
The requirements and options within these 2 types of Policies will differ.
We identify Buyer-side Policies as Policies where the insured is the buyer, or on the Buyer-side of the transaction, and Seller-Side Policies as Policies where the insured is the seller, or on the seller-side of the Transaction. Even if you may be the Seller, or on the Seller-Side of the transaction, the Project as io.insure sees it may be for a Buyer-side Policy. This is because Mio© Buyer-side policies involve the Buyer-side and the Seller-side, whereas Mio© Seller-Side Policies only involve the Seller-side.

1.2 The second disclaimer explains how to treat irrelevant or not applicable questions/sections of the 3DF©:
"If there is any section which is not relevant/applicable to this transaction, please answer “No” and Comfort Level 1 for each question in that section, before moving onto the next section. Many thanks." See below screenshot in section 2.3.2d.
1.3 The third disclaimer explains Due Diligence and Disclosure requirements of the Project.
As Buyer and Buyer's Advisor, you are required to fill out, review and sign the 3DF©. As explained above, 3DF© stands for Digital Due Diligence. You are to share due diligence reports, and your comfort level with the adequacy and findings of due diligence conducted, as well as disclose any breaches and/or key risk issues identified during your Due Diligence.

1.4 Progress sections - The area in 1.4 above shows the progress section for the different portions required to be filled. The overall forms progress, as well as the progress of the individual sections: General Questions, General Due Diligence/Disclosure, Specific Due Diligence/Disclosure and Covid-19 is visible here, and showing both the Buyer-Side and Seller-Side progress separately.
2. Forms
2.1 Form filling area - This is the area within which all form information is to be filled
2.2 Save button - Please click on the Save button upon filling any given section of the forms. Multiple users can edit forms at the same time. Forms are editable until reviewed and signed.

The Forms are broken down into the following sections and question types. Most of these are self-explanatory and intuitive - please read the below if you require further information.

2.3.1 General questions section:
2.3.1.a Questions in section
- Target - General information about the Target
- Seller - General information about the Seller*
- Buyer - General information about the Buyer
- Deal Team Members - Members' names and Deal team signatory
- Transaction Type - Shares or Assets
- Transaction Dates - Estimated signing and closing date
- Overall Assessment - Have key risk issues been identified?**
2.3.1.b Seller v. Target group
* If the Seller and Target Group are the same, enable the "The Seller and The Target Group are the same" option, then choose Target Company from the dropdown.
2.3.1.c Key risk issues
** If key risk issues are identified select Option Yes, and describe what specific key risk issues have been identified, and how you have gained comfort with these issues.
2.3.2. General Due Diligence
In this section, the Buyer and/or Buyer's Advisor(s) answer and rate their comfort level on questions regarding the general due diligence they have performed.
2.3.2.a Below is an example of a question:
2.3.2.b The Comfort Levels to be selected are described as follows:
- No due diligence - very low comfort
- Basic due diligence - low comfort
- Average due diligence - average comfort
- Adequate due diligence - good comfort
- Thorough due diligence - high comfort
2.3.2.c If your answer is Yes, select Yes and choose a number from 1 to 5 based on your Comfort Level.
Questions filled will turn green as you progress.
2.3.2.d If there is any section which is not relevant/applicable to this transaction, please answer No and Comfort Level 1 for each question in that section, before moving onto the next section, as per the above disclaimer in section 1.2 of this article.
2.3.3. Specific Due Diligence
2.3.3.a Sections in Specific Due Diligence
2.3.3.b Each section will follow a similar layout to the below example, with some differences. Please fill out accordingly. If a Comfort level is requested, please rate the Buyer's level of comfort with regards to the completeness of the Due Diligence performed between 1 and 5, as explained above in 2.3.2b.

2.3.3.c Overall Assessment
At the end of each section listed above in 2.3.3.a, you fill find an Overall assessment area. This area will contain two critical questions asking whether breaches have been identified in your Due Diligence with regards to the section, and whether key risks have been identified in said section.
Please rate the Buyer's level of comfort between 1 and 5 in relation to the completeness of its due diligence.
If breaches are identified select Option Yes, and list any breaches you have identified in your due diligence.
If key risk issues have been identified, select Yes, and describe what the specific identified key risk issues are and how you may have gained comfort with these issues.
3. Review Digital Form - if you need to download your digital form and review it offline, select the option Download.
